Terms of Service

1. Acceptance of these terms

AIstrella (“AIstrella,” “we,” “us”) provides a personal relationship-management application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Your account

Access is currently invite-only. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and provide accurate registration information. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree to use the Service only for lawful purposes and only with contact data you are permitted to store and process. You will not: upload unlawful content; attempt to access another customer’s workspace or data; reverse-engineer, scrape, or overload the Service; or use the Service to send spam or violate the privacy or rights of others.

4. Your content and what you own

“Your Content” means the information you provide to the Service: the contacts, notes, fields, files, and other data you import or enter, and content synced from third-party accounts you choose to connect. As between you and AIstrella, you retain all rights you hold in Your Content.

You grant AIstrella a worldwide, non-exclusive license to host, store, process, analyze, and display Your Content solely to operate, secure, and improve the Service for you. Each workspace is isolated from every other. You may export Your Content at any time, and you may delete it or your account as described in our Privacy Policy. You are responsible for ensuring you have the right to provide Your Content (including others' personal information) and to use the Service with it.

5. Derived data and our intellectual property

The Service — including all software, models, algorithms, designs, text, and other materials we provide — is owned by AIstrella and protected by intellectual-property laws. Nothing in these Terms transfers any ownership of the Service to you; you receive only a limited, revocable, non-transferable right to use it while your subscription is active.

In operating the Service, AIstrella generates data from Your Content and from your use of the Service, including: AI embeddings and vector representations; relationship, fit, engagement, and momentum scores and weightings; automated classifications and groupings (such as relationship circles); suggested or automatically applied tags, labels, and links; enrichment; and aggregate analytics (collectively, “Derived Data”). As between you and AIstrella, Derived Data is owned exclusively by AIstrella, is our proprietary and confidential information, and is NOT part of Your Content.

Put simply: the information you bring in is yours and you can take it out; the intelligence AIstrella creates on top of it is ours. For your convenience, an export may include the tags applied to your contacts, marked as manual or automatically generated — but AIstrella's other Derived Data, including scores, weightings, embeddings, and relationship inferences, is not included. Exporting labeled tags does not transfer ownership of any Derived Data, which remains AIstrella's, and you may not scrape, resell, or reverse-engineer it. If you send us feedback or suggestions, you grant AIstrella a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

6. Third-party integrations

The Service can connect to third-party services you authorize (such as Google, Microsoft, and Calendly) using read-only permissions where applicable. Your use of those services is governed by their own terms, and AIstrella is not responsible for them. You can disconnect an integration at any time, which revokes our access going forward.

7. Payment, billing, and refunds

AIstrella is a paid subscription. Fees, billing intervals, and plan details are presented to you before you subscribe, and are processed by our payment provider; you authorize us to charge your payment method on a recurring basis. Subscriptions renew automatically until canceled; you can cancel at any time and will retain access through the end of your paid period. Fees are exclusive of taxes, which you are responsible for where applicable.

30-day money-back guarantee: if you are not satisfied within 30 days of your first payment, contact us for a full refund of that payment. Except for this guarantee, fees are non-refundable to the extent permitted by law.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other users. On termination you may, for a reasonable period, export Your Content, after which Your Content may be deleted. Derived Data is retained or deleted at AIstrella's discretion and is not provided on termination. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) survive termination.

9. Disclaimers; no professional advice

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any AI-generated output is accurate or complete. AIstrella does not provide legal, financial, tax, or investment advice, and its outputs are not a substitute for professional judgment.

10. Limitation of liability

To the maximum extent permitted by law, AIstrella will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve months preceding the claim, or USD $100.

11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless AIstrella from any claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

12. Changes to the Service and these Terms

We may modify or discontinue features of the Service over time. We may also update these Terms; if we make material changes we will notify you (for example, by email or in-app). Continued use after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Illinois for any dispute arising out of or relating to these Terms or the Service.
